Terms of Service
These Terms of Service (“Terms”) are a legal agreement between you and Uhlmann Fabrication LLC (“WorkLegacy,” “we,” “us”), an independent company based in the Commonwealth of Virginia, United States, and govern your access to and use of the WorkLegacy application and website (the “Service”). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Accounts & eligibility
WorkLegacy is a workplace tool. Accounts are provisioned by an organization (your employer) or by invitation; you are responsible for the activity under your account and for keeping your credentials secure. You must be at least 16 years old to use the Service. You agree to provide accurate information and to notify us of any unauthorized use of your account.
2. Acceptable use
You agree not to:
- Use the Service to store or share content that is unlawful, infringing, harassing, or that you do not have the right to share.
- Upload malware, attempt to breach security or access data outside your organization, or interfere with the Service’s operation.
- Reverse engineer, scrape, or resell the Service, or use it to build a competing product.
- Impersonate others or misrepresent your affiliation, or use the Service in violation of any applicable law or your employer’s policies.
We may remove content or suspend access that we reasonably believe violates these Terms.
3. Your content & ownership
You keep what you create. As between you and WorkLegacy, you retain all copyright and ownership in the posts, comments, service records, knowledge, and other materials you contribute (“Content”). We do not claim ownership of your Content.
You are responsible for your Content and represent that you have the rights necessary to share it and to grant the license below. Content shared within an organization may be owned or co-owned by your employer under your employment agreement or law — WorkLegacy does not adjudicate that relationship between you and your employer.
4. The legacy license
WorkLegacy exists to preserve organizational knowledge so it stays with the organization even after the people who captured it move on. To make that possible, you grant WorkLegacy and your organization the following:
You grant WorkLegacy and your Organization a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to host, store, reproduce, and display your Content within your Organization for the purpose of preserving and providing continued access to that knowledge (the “legacy” retention purpose) — including after your account is closed or anonymized. This license is limited to display of your Content within your Organization and to operating the Service; it does not permit WorkLegacy to sell your Content or to use it outside your Organization.
This is the load-bearing promise of WorkLegacy: when you delete your account, your personal information is removed, but the knowledge you contributed remains available to your organization, re-attributed to “Former Employee.” See how deletion works in our Privacy Policy. The license in this section survives termination of your account and of these Terms, solely for that legacy purpose.
5. Organizations & administrators
If you use WorkLegacy as a member of an organization, your organization’s administrators control your account and its content within the Service and may add or remove members, mark members as former employees, and manage or export organization data. Your use may also be subject to your employer’s policies. Between you and your organization, the organization is responsible for how it administers its workspace.
6. Termination
You may stop using the Service and delete your account at any time from Settings → Danger Zone → Delete my account. We or your organization’s administrators may suspend or terminate access that violates these Terms or that the organization no longer authorizes. Deleting your account removes your personal information and login as described in the Privacy Policy; your knowledge Content remains with your organization as anonymized “Former Employee” content under the license in Section 4.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content or advice captured in it is accurate, complete, or fit for any particular operational or safety-critical use. You are responsible for verifying any procedure before relying on it.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKLEGACY AND UHLMANN FABRICATION LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU OR YOUR ORGANIZATION PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless WorkLegacy and Uhlmann Fabrication LLC from claims, damages, and expenses (including reasonable legal fees) arising from your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
10. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Virginia for any dispute that is not otherwise resolved, except where applicable law gives you the right to bring a claim elsewhere.
11. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we’ll revise the effective date above and, where appropriate, notify you through the app or by email. Your continued use of the Service after changes take effect means you accept the updated Terms.
